1. Acceptance of Terms
By deploying CSP Continuity ("the Application") from the Azure Marketplace, you ("Customer") agree to these Terms of Use. If you are deploying on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Service
The Application is an Azure Managed Application that deploys into the Customer's Azure tenant to collect, consolidate, and display Azure cost and usage data. The Application runs entirely within the Customer's Azure environment.
3. Subscription and Pricing
- The Application is offered at tiered monthly pricing based on the number of Azure subscriptions monitored: Small (1–5 subscriptions) at $225 USD per month, Medium (6–15 subscriptions) at $495 USD per month, and Enterprise (16+ subscriptions) at $1,495 USD per month. A 30-day free trial is included. The tier is determined automatically each billing cycle based on the subscription count visible to the Application's managed identity.
- Billing is managed by the Azure Marketplace. The free trial converts automatically to a paid subscription at the applicable tier unless cancelled.
- Infrastructure costs (Function App, Storage Account, SQL Database) are billed separately by Microsoft to the Customer's Azure subscription and are not included in the Application subscription price.
4. Customer Responsibilities
- The Customer is responsible for running the post-deployment onboarding script to grant the Application's service principal the necessary read-only permissions.
- The Customer is responsible for managing user access to the Application via Azure Active Directory.
- The Customer is responsible for configuring and maintaining the Azure subscription in which the Application is deployed.
5. Data Ownership
All data collected, processed, and stored by the Application is owned by the Customer. The publisher (Savoy Systems LLC) has no ownership interest in, and does not access, the Customer's data. See the Privacy Policy for details on data handling.
6. Permissions and Access
The Application requires the following read-only permissions, granted by the Customer:
- Cost Management Reader at the root management group or per-subscription
- Reservations Reader at the tenant level
- Directory.Read.All (optional, for the access control panel only)
These permissions grant read-only access. The Application cannot modify, create, or delete Azure resources, subscriptions, or spending.
7. Third-Party Dependencies and API Availability
The Application depends on Microsoft Azure APIs to collect cost and reservation data, including the Cost Details API (generateCostDetailsReport), the Azure Resource Manager API, and the Reservations API. The availability, accuracy, behavior, and scope of these APIs are controlled entirely by Microsoft and are subject to change without notice.
The Publisher does not control, and is not responsible for:
- Changes to Microsoft Azure API behavior, schema, availability, rate limits, or scope support
- Disruptions to cost data availability during subscription billing transfers (including transfers to or from CSP partners), billing scope migrations, or Azure platform maintenance
- Differences between cost data returned by Microsoft APIs and amounts invoiced by the Customer's CSP partner
- Microsoft's decision to restrict, deprecate, or discontinue any API that the Application depends on
- Data availability limitations inherent to Microsoft's CSP billing architecture, including the inability to query cost data at management group or billing scope from the customer tenant
The Application is designed to operate within the scope and limitations of the Microsoft APIs available at the time of deployment. If Microsoft changes or restricts these APIs, the Application's functionality may be affected. The Publisher will make commercially reasonable efforts to adapt the Application to API changes through updates delivered via the Azure Marketplace.
8. Availability and Service Level
- The Application runs on Azure infrastructure within the Customer's tenant. Availability depends on the underlying Azure services (Azure Functions, Azure SQL Database, Azure Storage).
- The Publisher does not provide a service level agreement (SLA) for the Application. The Application inherits the availability characteristics of the underlying Azure services, which are covered by Microsoft's own SLAs.
- The Publisher provides support for Application-specific issues. Azure infrastructure issues should be directed to Microsoft support.
- Support is available at savoysystems.ai/support.
9. Limitation of Liability and Disclaimer of Warranties
The Application provides cost data and calculations for informational purposes only. Cost figures and reservation amortization calculations are approximations based on available API data and should not be used as the sole basis for financial decisions. Invoiced amounts are determined by the Customer's CSP partner or Microsoft billing system and may differ from the figures displayed by the Application.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE PUBLISHER DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT COST DATA WILL BE COMPLETE OR ACCURATE UNDER ALL CIRCUMSTANCES, INCLUDING DURING OR AFTER SUBSCRIPTION BILLING TRANSFERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVOY SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE APPLICATION, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR COST OVERRUNS RESULTING FROM RELIANCE ON COST DATA PROVIDED BY THE APPLICATION.
THE TOTAL AGGREGATE LIABILITY OF SAVOY SYSTEMS LLC FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO THE PUBLISHER FOR THE APPLICATION DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Customer-Initiated Changes
The Customer acknowledges that certain actions initiated by the Customer or the Customer's CSP partner may temporarily or permanently affect the Application's ability to collect or display cost data. These actions include, but are not limited to:
- Transferring subscription billing ownership to a CSP partner or between CSP partners
- Changing the Azure Active Directory tenant associated with a subscription
- Revoking or modifying the role assignments required by the Application
- Deleting or moving the managed resource group or its resources
- Modifying EasyAuth configuration on the Application's Function App
The Publisher is not liable for any data gaps, service interruptions, or data loss resulting from Customer-initiated or partner-initiated changes to the Azure environment in which the Application operates.
11. Marketing Materials
Product descriptions, website content, marketplace listings, and documentation describe the Application's intended functionality under normal operating conditions with correctly configured permissions and currently available Microsoft APIs. These materials do not constitute guarantees of performance, data completeness, or uninterrupted service. In the event of a conflict between marketing materials and these Terms of Use, these Terms of Use shall control.
12. Termination
The Customer may cancel the subscription at any time through the Azure Marketplace. Upon cancellation:
- The Application subscription billing stops at the end of the current billing period.
- The managed application resource and its managed resource group (including all data) remain in the Customer's tenant until the Customer deletes them.
- The Publisher has no obligation to maintain, update, or support the Application after cancellation.
13. Modifications
We may update these Terms of Use. Material changes will be communicated through the Azure Marketplace listing. Continued use after changes constitutes acceptance.
14. Governing Law
These Terms of Use are governed by the laws of the State of Indiana, without regard to its conflict of laws provisions.
15. Entire Agreement
These Terms of Use, together with the Privacy Policy and any order documentation from the Azure Marketplace, constitute the entire agreement between the Customer and Savoy Systems LLC with respect to the Application and supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written.
